Trust & compliance: how POD funds are regulated, structured and controlled

POD's funds are managed by POD Asset Management (BVI) Ltd, approved by the BVI Financial Services Commission as an Approved Manager under the Investment Business (Approved Managers) Regulations 2012.

The funds are administered by a fund administrator domiciled in Ireland that is authorised and regulated by the Central Bank of Ireland.

Administration and management sit in different companies. The entity that calculates NAV is not the entity whose fees depend on it.

Each manager's fund is a segregated portfolio inside one of POD's SPCs. A segregated portfolio company is a single fund company whose portfolios are separated from one another by statute: the assets and liabilities of one portfolio are not available to creditors or investors of another. Every fund on POD therefore has its own assets, its own investors, its own NAV and its own track record, while sharing the SPC's licences, directors and service providers.

Managers at the Emerging Manager tier can operate their own fund vehicle instead, while using the platform for fund administration and investor services.

Independent directors sit at SPC level.

The manager has trading authority over the fund's assets and never withdrawal authority. That separation is the arrangement institutional investors expect, and it is enforced by how accounts are set up, not by policy alone.

Fund assets sit with a qualified custodian and in exchange, brokerage and bank sub-accounts opened in the fund's name during onboarding. Investors' subscriptions are received by the custodian, not by the manager.

Investor withdrawal instructions require strong authentication.

NAV is calculated by POD's licensed administrator, independently of the manager, at the fund's dealing frequency (up to daily).

Custodian cash and position reconciliation is performed by the administrator as part of the NAV process.

Every fund on POD is audited annually by an independent auditor. The track record shown on POD Discover is the administrator-produced NAV series, not manager-reported performance.

Investors can see their position, returns, fees and dealing history in the app at any time.

Fund records are retained for at least five years after the customer relationship ends.

Access to POD funds and to POD Discover is limited to verified professional investors. Before subscribing, every investor completes identity verification and anti-money-laundering checks, and eligibility is confirmed against the fund's domicile rules and the investor's own jurisdiction. BVI Professional Funds and Cayman Funds carry a minimum initial investment of US$100,000.

Verification covers both individuals and entities. Where the investor is a company, trust or family office, POD identifies and verifies its beneficial owners and controlling persons as well as the entity itself. Investors are screened against sanctions and politically exposed person lists at onboarding and on an ongoing basis.

Verification is completed once and applies across every fund the investor subscribes to on POD; identity documents are held off-chain by the administrator, not on the platform's blockchain.

Managers are verified to the same standard before they can launch: know-your-business checks on the management company and its beneficial owners, and identity checks on its principals and authorised traders.

Manager and investor accounts are protected by multi-factor authentication and passkey. Data is encrypted in transit and at rest. Identity documents and directly identifying information are held off-chain. The blockchain records holdings against pseudonymous identifiers only.
